Terms of Service

1. Definitions

"Platform" refers to the Nora Coaching web application and all related services.

"User" means any individual who creates an account, including Individuals, Employees, Managers, and Administrators.

"Coach" means a certified coaching professional who offers services through the Platform.

"Organization" means a company or entity that subscribes to the Platform on behalf of its employees.

"AI Coach" refers to the artificial intelligence coaching system powered by Anthropic's Claude language model.

2. Acceptance of Terms

By creating an account or using the Platform, you agree to these Terms of Service, our Privacy Policy, and our Acceptable Use Policy. If you are accepting on behalf of an organization, you represent that you have the authority to bind that organization.

3. Account Registration & Responsibilities

You must provide accurate, current information during registration. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must be at least 16 years old to use the Platform.

You agree to notify us immediately of any unauthorized use of your account.

4. AI Coaching — Nature and Limitations

The AI Coach provides developmental coaching focused on emotional intelligence, leadership, and professional wellbeing. The AI Coach is not a licensed therapist, counselor, psychologist, or medical professional.

AI coaching does not constitute:

• Mental health treatment, therapy, or counseling
• Medical, legal, or financial advice
• Crisis intervention services
• A substitute for professional help

If you are experiencing a mental health crisis, please contact a qualified mental health professional, your local emergency services, or a crisis helpline immediately.

AI-generated insights, scores, and assessments are developmental tools and should not be used as the sole basis for employment, medical, or other consequential decisions.

5. Acceptable Use

You agree to use the Platform only for its intended purpose of personal and professional development coaching. You may not:

• Use the Platform for any illegal or unauthorized purpose
• Attempt to manipulate, exploit, or deceive the AI system
• Share content that is threatening, harassing, defamatory, or discriminatory
• Use the Platform to harm yourself or others
• Reverse-engineer, copy, or redistribute the Platform or its AI models
• Share another person's personal data without their knowledge or consent
• Create multiple accounts to circumvent usage limits or restrictions
• Use the Platform to generate content for commercial purposes outside the coaching relationship

6. Human Coaching Marketplace

Coaches on the Platform are independent contractors, not employees of Nora Coaching. Nora Coaching facilitates the connection but does not guarantee outcomes. Session bookings, cancellations, and payments are governed by the booking terms displayed at the time of scheduling.

A 15% platform fee applies to coach earnings. Group session pricing is set by coaches.

7. Intellectual Property

The Platform, including its AI models, design, content, and software, is owned by Nora Coaching and protected by intellectual property laws. Your coaching conversations remain your personal data. You retain ownership of any content you create, but grant Nora Coaching a limited license to process it for providing the service.

8. Limitation of Liability

To the maximum extent permitted by law, Nora Coaching shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or opportunities arising from your use of the Platform.

Our total liability for any claim shall not exceed the amount you paid to us in the twelve (12) months preceding the claim, or $100, whichever is greater.

Nora Coaching is not liable for any decisions you make based on AI-generated coaching, insights, or assessments.

9. Indemnification

You agree to indemnify and hold harmless Nora Coaching, its officers, directors, employees, and partners from any claims, damages, or expenses arising from your use of the Platform, your violation of these Terms, or your violation of any third-party rights.

10. Termination

You may terminate your account at any time. Nora Coaching may suspend or terminate your account for violation of these Terms, with notice where practicable. Upon termination, your right to use the Platform ceases. You may request export or deletion of your data in accordance with our Privacy Policy.

11. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-platform notification at least 30 days before they take effect. Continued use of the Platform after the effective date constitutes acceptance of the updated Terms.

12. Governing Law & Disputes

These Terms are governed by the laws of the jurisdiction in which Nora Coaching is incorporated. Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes will be submitted to binding arbitration under the rules of the applicable arbitration authority in the governing jurisdiction.

13. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
